Terms of Service

1. Acceptance and Eligibility

By using our Services, you represent and warrant that:

• You are at least 18 years of age and have the legal capacity to enter into a binding agreement
• If acting on behalf of a company, you have the authority to bind that company to these Terms
• Your use of the Services does not violate any applicable laws or regulations
• You are not located in, or a national or resident of, any country subject to comprehensive US sanctions

2. Description of Services

Sandingzone provides AI-native financial infrastructure including:

• Rosud: An autonomous payment API enabling AI agents to send and receive USDC on the Base Layer 2 blockchain network
• Rosud Call: An SDK enabling agent-to-human communication within agentic workflows
• Additional services as made available from time to time, subject to separate documentation and agreements

We reserve the right to modify, suspend, or discontinue any Service at any time with reasonable notice where practicable.

3. Account Registration and Security

To access certain Services, you may need to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your API keys, credentials, and passwords confidential
• Immediately notify us of any unauthorized use of your account at admin@sandingzone.com
• Accept responsibility for all activities conducted under your account

4. KYC/AML Compliance

Sandingzone is committed to maintaining compliance with applicable anti-money laundering (AML) and know-your-customer (KYC) regulations. You agree to:

• Provide all required identity verification documentation upon request
• Ensure that all transactions conducted through our Services are lawful and compliant with applicable laws
• Not use our Services for money laundering, terrorist financing, or any other illegal financial activity
• Cooperate with our compliance reviews, including providing source-of-funds information when requested

We may suspend or terminate access to our Services if you fail to satisfy KYC/AML requirements or if we have reasonable grounds to suspect illegal activity.

5. Acceptable Use

You agree NOT to use our Services to:

• Violate any applicable local, national, or international law or regulation
• Engage in fraudulent, deceptive, or manipulative financial transactions
• Fund, support, or facilitate terrorism, human trafficking, or illegal weapons procurement
• Circumvent sanctions programs administered by OFAC or other regulatory bodies
• Reverse engineer, decompile, or attempt to extract the source code of our Services
• Overburden or disrupt the infrastructure or security of our Services
• Resell or sublicense access to our Services without prior written authorization

6. Payments and Fees

Use of certain Services may be subject to fees as set forth in applicable pricing documentation or a separate agreement. You agree to:

• Pay all applicable fees in a timely manner
• Be responsible for any applicable taxes, including VAT or withholding taxes, unless expressly stated otherwise
• Maintain sufficient funds or credit to cover transactions processed through our Services

On-chain transactions processed through our Services may be subject to blockchain network fees (“gas fees”) which are separate from our service fees and are not refundable. All confirmed on-chain transactions are irreversible.

7. Intellectual Property

All rights, title, and interest in and to the Services, including all intellectual property rights, are and remain the exclusive property of Sandingzone and its licensors. These Terms do not grant you any rights to our trademarks, logos, or other brand features.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use our APIs and SDKs solely for your internal business purposes in accordance with our documentation.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. SANDINGZONE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. BLOCKCHAIN NETWORKS AND SMART CONTRACTS ARE SUBJECT TO INHERENT RISKS INCLUDING TECHNICAL VULNERABILITIES AND NETWORK FAILURES.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SANDINGZONE, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY
• DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA
• LOSSES RESULTING FROM IRREVERSIBLE BLOCKCHAIN TRANSACTIONS

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU TO SANDINGZONE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless Sandingzone and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any third-party rights.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising from or related to these Terms shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules.

The arbitration shall take place in Delaware, USA, and shall be conducted in English. You waive any right to participate in a class action lawsuit or class-wide arbitration. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

12. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice, if we reasonably believe you have violated these Terms or applicable law. Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination shall survive, including Sections 7, 8, 9, 10, and 11.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the “Last updated” date and, where appropriate, by email. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms.

14. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and Sandingzone regarding the Services
• Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect
• Waiver: Our failure to enforce any right or provision shall not constitute a waiver of such right or provision
• Assignment: You may not assign these Terms without our prior written consent. We may assign our rights and obligations without restriction.
